BY INSTALLING OR USING THIS SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. -------------------------------------------------------------------------------- 1. DEFINITIONS -------------------------------------------------------------------------------- "Software" refers to Tyro - Script Editor, including all files, documentation, and updates provided by the Licensor. "Licensor" refers to Jorge Hernandez Ibañez. "Licensee" or "You" refers to the individual who has purchased a valid license to use this Software. -------------------------------------------------------------------------------- 2. LICENSE GRANT -------------------------------------------------------------------------------- Subject to the terms of this Agreement and upon payment of the applicable license fee, the Licensor grants You a non-exclusive, non-transferable, limited license to: a) Install and use ONE (1) copy of the Software on computers owned or controlled by You for your personal or professional use. b) Use the Software solely in conjunction with Blackmagic Design DaVinci Resolve Studio software. This license is granted to You as an individual. You may install the Software on multiple computers (e.g., desktop and laptop) provided that You are the sole user of the Software on all such computers. -------------------------------------------------------------------------------- 3. LICENSE RESTRICTIONS -------------------------------------------------------------------------------- You may NOT: a) REDISTRIBUTE: Share, distribute, sublicense, rent, lease, lend, or otherwise transfer the Software or your license rights to any third party. b) MODIFY: Alter, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software. c) COMMERCIAL REDISTRIBUTION: Include the Software in any product or service offered to third parties, whether for profit or not. d) CIRCUMVENT: Attempt to bypass, disable, or circumvent any license verification, copy protection, or access control mechanisms. e) TRANSFER: Sell, assign, or transfer your license to another person or entity without prior written consent from the Licensor. f) MULTI-USER: Allow multiple individuals to use the Software under a single license, or deploy the Software in a shared or networked environment where it may be accessed by multiple users. -------------------------------------------------------------------------------- 4. VERSION AND COMPATIBILITY -------------------------------------------------------------------------------- a) Please refer to the product page at https://jorgehi.com for specific version requirements and compatibility information. b) The Licensor does not guarantee compatibility with future versions of DaVinci Resolve or any other software. c) Updates to the Software, if provided, are subject to the terms of this Agreement unless otherwise specified. -------------------------------------------------------------------------------- 5. INTELLECTUAL PROPERTY -------------------------------------------------------------------------------- The Software is protected by copyright laws and international treaties. The Licensor retains all intellectual property rights, title, and interest in and to the Software, including all copies, modifications, and derivative works. This license does not grant You any rights to trademarks, service marks, or trade names of the Licensor. -------------------------------------------------------------------------------- 6. DISCLAIMER OF WARRANTIES -------------------------------------------------------------------------------- THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE. -------------------------------------------------------------------------------- 8. LIMITATION OF LIABILITY -------------------------------------------------------------------------------- IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE. -------------------------------------------------------------------------------- 9. TERMINATION -------------------------------------------------------------------------------- a) This license is effective until terminated. b) Your rights under this license will terminate automatically without notice if You fail to comply with any term of this Agreement. c) Upon termination, You must cease all use of the Software and destroy all copies in your possession. d) Sections 5, 7, 8, and 11 shall survive any termination of this Agreement. -------------------------------------------------------------------------------- 10. GOVERNING LAW -------------------------------------------------------------------------------- This Agreement shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. -------------------------------------------------------------------------------- 11.
